LETTER OF TERMINATION

Milan, this 25th day of August, 2011  To:  Ms. Alina Polyak  Thomas-Mann Strasse 18 60439 Frankfurt am Main Germany   Dear Ms Polyak,  You are hereby notified that your functions with the AH NEW ENERGY srl will be terminated, effective immediately upon date of signature of this letter. It is understood that you have no more obligations regarding any business developments, legal claim or debt obligations or any further requirements in regards of the activities of the company.  Except for the payment due to you by the company in connection with the sales of shares (see the sales of shares agreement) and its related letter of terms of payment, no compensation(s), nor any rights whatsoever will be due to you.  It is understood and agreed that you will have no authority to, nor shall you, directly or indirectly contact any of the company's business associate(s) or person(s) related to the company. Any future communication with the company shall be submitted by written notice to the company's legal office to my attention.  The company warrants that there is to date no claim(s) nor any issue in controversy from and against any third party. The company shall hold you harmless against any future claim against the company. Hereby you assume the commitment to follow the most rigorous confidentiality of data and news of the company that came to your knowledge and undertakes not to disclose and not to communicate all or any part of such confidential information to any third party.    This termination was made in good faith and under mutual agreement.                     ------------------          Alain Horoit          Managing Director          AH New Energy srl.
